Sub S is good, mostly if you're going to stay small, avoids double taxation, 
but the most important thing to remember is that *you* don't make yourself a 
Sub S corp. the *IRS does*!!! You file the papers with the IRS after you've 
done the state paperwork. If you don't the IRS will come gunning when your 
paperwork calling yourself a Sub S doesn't jive w/ their records.

That and getting a good accountant is more important than getting a lawyer.
